Services may vary depending on the selected package or custom agreement.

2. Client Responsibilities

Clients agree to:

• Provide accurate business information.
• Supply required content, images, logos, and branding materials when requested.
• Review and approve deliverables in a timely manner.
• Maintain compliance with all applicable laws and regulations.
• Obtain proper consent from customers for SMS, email, and marketing communications.

Delays in providing requested information may affect project timelines.

3. Subscription Services

Many M3 AI Agency services operate on monthly or annual subscription plans.

Subscriptions automatically renew unless canceled in writing prior to the renewal date.

Subscription fees cover access to services, support, software licenses, hosting, maintenance, and ongoing platform costs where applicable.

4. Setup Fees

Certain services require a one-time setup fee for onboarding, configuration, integrations, training, and deployment.

Setup fees are non-refundable once implementation work has begun.

5. Payments

Payment is due according to the agreed billing schedule.

Late payments may result in:

• Suspension of services
• Temporary account restrictions
• Removal of access to software or automation systems
• Additional late fees where permitted by law

Clients remain responsible for all outstanding balances.

6. Third-Party Fees

Some services rely on third-party providers and usage-based charges including but not limited to:

• Phone calls
• SMS messages
• Email sending
• AI usage
• Voice minutes
• Domain registration
• Hosting
• Advertising spend

These costs may be billed separately or passed through to the client.

M3 AI Agency will make reasonable efforts to communicate expected usage costs.

7. AI Services Disclaimer

Artificial Intelligence systems are designed to assist business operations but cannot guarantee:

• Specific revenue increases
• Lead generation results
• Search rankings
• Advertising performance
• Customer behavior outcomes

Results depend on many factors outside the control of M3 AI Agency.

8. Website Ownership

Upon full payment, clients retain ownership of their business content and branding assets.

M3 AI Agency retains ownership of proprietary software, templates, automations, code libraries, AI configurations, and internal systems unless otherwise agreed in writing.

9. Marketing Results Disclaimer

While M3 AI Agency uses industry best practices and proven strategies, we do not guarantee:

• Specific sales figures
• Search engine rankings
• Number of leads generated
• Advertising performance
• Revenue outcomes

Performance depends on market conditions, competition, customer demand, and implementation.

10. Cancellations

You can cancel at any time. Clients may cancel recurring services by providing written notice at least 30 days prior to the next billing cycle.

Outstanding balances remain due upon cancellation.

Setup fees and completed work are non-refundable.

11. Limitation of Liability

M3 AI Agency shall not be liable for:

• Lost profits
• Lost revenue
• Business interruptions
• Data loss
• Indirect damages
• Consequential damages

Total liability shall not exceed the amount paid by the client to M3 AI Agency during the previous 12 months.

12. Service Availability

While we strive for maximum uptime, M3 AI Agency cannot guarantee uninterrupted service due to:

• Third-party provider outages
• Internet interruptions
• Platform maintenance
• Carrier disruptions
• Force majeure events

13. Intellectual Property

All M3 AI Agency branding, proprietary systems, software configurations, prompts, workflows, designs, and intellectual property remain the property of M3 AI Agency unless otherwise agreed in writing.

14. Confidentiality

Both parties agree to maintain confidentiality regarding proprietary business information shared during the business relationship.

15. Acceptable Use

Clients agree not to use M3 AI Agency services for:

• Illegal activities
• Fraudulent communications
• Spam campaigns
• Harassment
• Misrepresentation
• Violations of telecommunications regulations

M3 AI Agency reserves the right to suspend services for violations.

16. Changes To Terms

M3 AI Agency reserves the right to modify these Terms of Service at any time.

Updated versions will be posted on our website with revised effective dates.

17. Governing Law

These Terms shall be governed by and interpreted under the laws of the State of Texas, United States.
